Learning outcomes of the course unit
This course introduces the students to some of the operations that radically change the way a company works in relation to new strategic directions and/or changes in the institutional organisation of companies.
In these conditions interventions are required to modify the economic and legal architecture of companies or corporate groups.
Tools used to achieve a new and correct company-environmental balance are called extraordinary operations.
All the various aspects of these operations are examined not only in terms of economic impact but also from the point of view of civil law, in order to provide the students with an idea of the complexities of “extraordinary finance".
The course covers only the study of transfer, concession, fusion, scission and exchange of shares.
