Learning outcomes of the course unit
a. Knowledge and understanding: the main operation of companies acquisition, expansion and restructuring.
b. Applying knowledge and understanding: to build the obligations connected with the main companies acquisition, expansion and restructuring.
c. Making judgments: compare different alternatives to achieve extraordinary goals.
d. Communication skills: exposing the solutions worked out and know how to prepare the documents necessary to implement the chosen solution or the different possible alternatives.
e. Ability to learn: to learn the essentials of an acquisition or expansion of corporate restructuring, both from a theoretical point of view and in relation to their practical application.
Good knowledge of the Gender and Mergers and Acquisitions operations from a business point of view, legal and tax matters.
Course contents summary
The Laboratory aims to explore the main aspects of the most important Gender and Mergers and Acquisitions operations by simulative techniques.
Acquisition through disposal / transfer of a company and / or transfer of shares. Merger of companies and leverege buyout.
Texts and materials provided by the teacher.
Exercises with simulative techniques and seminars.
Assessment methods and criteria
The verification will be done through the evaluation of the materials produced by students during the laboratory and on the basis of the presentation that will do.
